Affiliate Agreement
This Affiliate Agreement ("Agreement") is made and entered into as of ("Effective Date") by and between 89th Collective ("Company"), with its principal place of business at , and the undersigned affiliate ("Affiliate").
1. PURPOSE
The Company agrees to compensate the Affiliate for referring customers to the Company's services and products under the terms outlined below.
2. COMMISSION STRUCTURE
Founders Program
Affiliate shall receive 10% commission on all qualifying founders program memberships referred by Affiliate.
Membership Levels
Affiliates shall receive 10% commission on all membership levels.
Rental Space Bookings
Affiliate shall receive 10% commission on all rental space bookings referred by Affiliate.
Commission Terms
Commissions are earned on:
- Founders program memberships
- All membership level fees (recurring and one-time)
- Rental space booking fees
Payment Terms
- Commissions are paid on the 15th of the month following the qualifying transaction
- If a customer cancels within any applicable refund period, commission may be reversed
- The Company reserves the right to adjust commission terms with 30 days' written notice
3. ETHICAL PROMOTION & BRAND INTEGRITY
Affiliate agrees to:
- Promote the Company's services ethically and honestly without making false claims
- Represent the Company's brand with integrity, ensuring all marketing materials align with Company values
- Not engage in spam marketing, misleading advertising, or any tactics that could harm the Company's reputation
- Use only Company-approved branding, materials, and messaging when promoting services
- Comply with all applicable laws and regulations regarding advertising and marketing
4. CONFIDENTIALITY & NON-DISCLOSURE
Affiliate acknowledges that during the partnership, they may receive access to confidential information, including business operations, member information, and proprietary processes.
Affiliate agrees to:
- Not disclose any confidential information to third parties
- Use confidential information solely for the purpose of fulfilling their obligations under this Agreement
- Maintain confidentiality during and after the termination of this Agreement
- Return or destroy all confidential materials upon termination
5. TRACKING AND REPORTING
- All referrals must be properly tracked through Company-provided tracking systems
- Affiliate must provide accurate reporting of all promotional activities
- Company reserves the right to verify all referred customers and transactions
6. VIOLATIONS & TERMINATION
Either party may terminate this Agreement with 30 days' written notice.
The Company may immediately terminate this Agreement if the Affiliate:
- Engages in unethical marketing practices
- Violates the Company's brand guidelines
- Misuses confidential information
- Violates any terms of this Agreement
- Engages in fraudulent activities
Upon termination:
- Unpaid commissions will be paid only if they were earned before the termination date and do not violate any terms
- All confidential information must be returned or destroyed
- Affiliate must cease all promotional activities immediately
7. INDEPENDENT CONTRACTOR
Affiliate is an independent contractor and not an employee, agent, or representative of the Company. The Company is not responsible for taxes, benefits, or liabilities related to Affiliate's earnings.
8. LIMITATION OF LIABILITY
The Company's liability under this Agreement shall not exceed the total commissions paid to Affiliate in the twelve (12) months preceding any claim.
9. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Missouri.
10. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings or agreements. Any modifications must be made in writing and signed by both parties.
